END USER LICENSE AGREEMENT

Please read and understand this license agreement fully before using the ExpressMRP - MRP software for production planning and simulation.

This is an agreement between you, the end-user ("USER"), and Zlatko Matic ("AUTHOR"), the publisher of the software ExpressMRP ("SOFTWARE").
By installing and/or using this software you are agreeing to be bound by the terms of this agreement.

This LICENSE AGREEMENT("LICENSE") may be revoked by AUTHOR at any time without notice if the USER fails to comply with the terms of this LICENSE.
The copyright and all other rights in the software shall remain with AUTHOR.

IF YOU DO NOT AGREE WITH THE TERMS OF THIS LICENSE AGREEMENT, THE SOFTWARE MUST BE REMOVED, INCLUDING ANY INSTALLATION FILES AND ARCHIVAL FILES.

You shall not modify, reverse engineer, decompile or disassemble the SOFTWARE or any part thereof or otherwise attempt to derive source code or create derivative works therefrom. You are not allowed
to remove, alter or destroy any copyright markings or notices placed upon or contained with the software.
TRIAL AND FREE VERSION

The FREE VERSION of this SOFTWARE provides basic features free of charge and may be used with no limitations.

The TRIAL VERSION of this SOFTWARE provides features of both free version and licensed commercial version.

Premium features of licensed version may be used in trial version only for evaluation purposes, at the user's own risk, for 15 days of usage, in period of max 30 days from the date of installation.
At the end of the trial period, premium features are disabled and the USER must either purchase a commercial license to continue using premium features of licenced commercial version, or continue using SOFTWARE only with limited set of features as in the free version.

The trial/free version may be freely distributed, provided the distribution package is not modified. Anyone can distribute trial version of the SOFTWARE on any Cover Disk or CD-ROM without any permission.

No person or company may charge a fee for the distribution of the SOFTWARE without written permission from the AUTHOR.
LICENSED COMMERCIAL VERSION

On payment of the appropriate license fee, the USER is granted a non-exclusive license to use premium features of the SOFTWARE, on one computer (i.e. a single motherboard), for any legal purpose, at a time, for specified time-limited period, after which expiration the software returns to the free version.

The registered software may not be rented or leased, but may be permanently transferred, if the person receiving it agrees to terms of this license. If the software is an update, the transfer must include the update and all previous versions.

ACCEPTANCE OF THIS LICENSE AGREEMENT
By downloading and/or installing this SOFTWARE, the USER agrees to the terms of this LICENSE.

DISCLAIMER OF WARRANTY AND LIABILITY

THE SOFTWARE AND THE ACCOMPANYING FILES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTHOR DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF
PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTHOR BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING, BUT NOT
LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

ANY LIABILITY OF AUTHOR WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF ORIGINAL PURCHASE PRICE.

OTHER RESTRICTIONS
The USER may not rent, lease, sublicense, translate, disassemble, reverse engineer, or de-compile the SOFTWARE, or modify or merge the SOFTWARE with any part of the software in another program.
This LICENSE may not be assigned or otherwise transferred without the prior written consent of the AUTHOR.

INVALID PROVISIONS
If any provision of this LICENSE shall be declared invalid or unenforceable, the remaining provisions of this LICENSE shall remain in full force and effect to the fullest extent permitted by law. In such event,
each provision of this LICENSE which is invalid or unenforceable shall be replaced with a provision as similar in terms to such invalid or unenforceable provision as may be possible which is legal and
enforceable.

ENTIRE AGREEMENT
This LICENSE is the entire agreement between AUTHOR and the USER, and supersedes any other agreement, oral or written, and may not be changed except by a written signed agreement.
